High Court Company Restoration

Companies can be struck off for a variety of reasons including the failure to file annual returns or for non-compliance with Revenue Commissioner requirements.   The consquences of being struck off range from quite severe late filing fees, possible prosecutions and the loss of limited liability status. If the company is involuntarily struck off for more than 12 months then an application to the High Court for a Company Restoration is necessary.

Moloney & Associates, Solicitors, are experienced in the area of High Court Company Restoration applications and in conjuction with your accountants we prepare and file the relevant paperwork with the Companies Registration Office, the Revenue Commissioners and the Chief State Solicitors Office.

One we have a letter of ‘No Objection’ from each we instruct a barrister to draft the paperwork and seek a date for the hearing in the High Court. If the application is successful we take up the Order and file same with the Companies Registration Office.

Once the paperwork is filed at the Companies Registration Office the legal effect is essentially that the company will be deemed to have never been dissolved and any contracts entered in to during the period of dissolution are deemed valid.
